Contracts

The contract filled from the job, accepted by link

A contract for works with the client and a subcontract down the chain, each on thirteen conditions, filled from the project settings, reviewed, frozen and accepted online by both parties.

  • Retention, the damages rate, payment days, the defects period and the valuation period come from the project
  • Figures filled from the project cannot be typed over, so the contract and the job agree
  • The subcontract swaps in the subcontractor's and the contractor's responsibilities

The full set: deposit and payment, liquidated damages, the two parties' responsibilities, variations, extension of time, health and safety, works by others, snagging and defects, insurance, disputes and adjudication, termination and governing law.

Payment schedule

The payment schedule sits inside the contract

Section four of the contract lists each invoice with its date, its description and its amount excluding tax.

  • Rows added by hand, or taken from the dates already in Settings
  • Contract settings in six parts: parties, works and sum, dates, payment, retention and deposit, clauses
  • Review the whole document on screen before anything is sent

Invoice 1 · deposit£12,000.00
Invoice 2 · first floor£18,500.00
Invoice 3 · roof on£16,000.00
Schedule total, excl. tax£46,500.00

The schedule records what was agreed. Valuations are still made in Valuations, so the contract never quietly changes a certificate.

Accepted by link

Each party accepts its own link

Freeze the version and each party is emailed a personal link to read the contract and accept it.

  • Acceptance is a typed name, position and date, with a confirmation of authority to sign
  • The date and time, the IP address and the fingerprint of the accepted version are recorded
  • The contract is concluded only when both parties have accepted, and you are emailed when they do

Read from the PDF

Start from the contract you already have

Upload a signed contract as a PDF and QScope reads nine details from it into the project settings.

  • Client, contractor, site, contract sum, form, retention, possession, completion and the architect
  • Recognises NEC3 and NEC4 ECC, JCT Minor Works and Intermediate, and JCT Standard and Design and Build
  • Nothing changes until you tick the details and press Apply to project

Every other function on the Contracts screen

39 functions the sections above do not cover, each as it works in the program.

Functions 1 to 20

01The contracts list shows the type, the other party, the sum excluding tax, the status and the date of each contract on the project.
02Delete a draft that nobody has seen with two clicks, while a contract that has been sent stays as a record for the other party.
03Save draft keeps your changes and tells you the time it was saved.
04Each party has a name, company, address, email, company number, signatory and position.
05Choose either party from Project team and the name, company and email fill in.
06Choose where the contract sum comes from: the Contract Sum in Settings, the cost plan total, the subcontract package sum or a figure entered on the contract.
07The project summary carries the description of works, the scope item by item and a register of architectural and structural drawings.
08List what is included and what is excluded, one item per line, starting from the template's own set.
09Section six sets out the programme week by week from the start date, with the works planned, the client actions and a status for each week.
10The deposit is set once in Valuations and shows in the contract both with and without tax.
11Write your own dispute resolution clause for this contract, and add the insurer, policy number and cover under Insurance.
12Copy the link of either party, or open it in your own email to send it yourself.
13To change a sent contract, return it to draft with a reason, and both links stop accepting and show that reason.
14When a new version is sent, the old link says it was replaced, when and why.
15Withdraw a sent contract before both parties accept it, with a reason that both parties see on their link.
16Either party can ask the sender a question from their link, and the sender is emailed the question.
17Either party can print the contract or save it as a PDF from their link.
18A withdrawn contract still opens from its link, with the reason and the date, but it can no longer be accepted.
19Start a second draft with the same party and the same sum and QScope asks whether to open the one you already have or create another.
20A contract is visible only to you until you send it, and a subcontract never goes to the client or to another subcontractor.

Functions 21 to 39

21A party typed into the contract is added to Project team with no access, so the same person is not entered twice.
22Your own side of the contract takes your company name, address and email from your account.
23A subcontract lists the items of its package, with the amount of each, as its scope.
24Change a payment term in a draft and it is saved to the project Settings, so the payment dates follow the same figure.
25Each invoice row has its own number, a new row takes the next one in the same pattern, and an empty or repeated number is refused.
26Under the payment schedule QScope says whether the deposit and the rows add up to the contract sum, and by how much they differ.
27Wording that makes payment depend on being paid by someone else is flagged before sending, with a note on section 113 of the Construction Act.
28The contract cannot be sent while anything is missing, and each missing item says where to fill it in.
29Anything not yet filled in is marked in the document as not set, so a gap is never printed as a blank.
30A client contract is issued under the Own contract form in Settings, so the payment dates follow the contract you send.
31Section two sets out the contract particulars: the sum with and without tax, the deposit, the balance, the dates, working hours, retention, defects period, damages and governing law.
32Before a version is frozen, QScope checks that the sum and the payment terms on screen are still the ones saved in the project.
33Questions asked by either party through their link are listed under the version they asked about.
34If Settings change after a contract is sent, the contract is marked Settings differ and both figures are shown side by side.
35Choose Own contract in Settings and QScope offers to create the contract document from its template.
36Once a client contract is sent or concluded, the contract form in Settings is locked to it.
37Every time a link is opened, the date, time and IP address are recorded for the sender.
38Sending, returning to draft, withdrawing, emailing a link, each acceptance and each question are written to the Audit trail.
39The PDF is read in your browser, up to forty pages.

Who it is for

The same four dates, four different desks

You are applying

You start the clock with the application

You send the application and the clock starts. If the payment notice is late or missing, the sum you applied for becomes the sum that falls due.

Applying for payment
the same measurement

You are certifying

Your notices are what the Act reads

You issue the notices, and the dates on them are the ones the Construction Act holds you to. A missed pay-less deadline is not an argument you can win.

Certifying payment

You are doing both

You count the dates with nobody checking

You send the application yourself and count the same four dates, with nobody to remind you which notice has to leave this week.

Doing both yourself

You are reporting

You lend against dates that must hold

You confirm the drawdown timetable against the contractual payment dates, so the facility releases against dates that will actually hold.

Recommending a drawdown

The client, the architect and the tenderer are not on this list. They are the people you let in on a link: they see the one document you sent them, answer it, and that answer is written into the record. No account, no licence, no charge, on every plan.

FAQs

The questions this page raises most often, answered without a sales pitch at the end.

A contract for works with your client and a subcontract for works with a subcontractor, both on QScope's thirteen conditions and both filled from the project settings.

By link. Each party types their name, position and the date and confirms they are authorised to sign. The date and time, the IP address and the fingerprint of the version accepted are recorded.

Yes. Choose the form in Settings, or upload the signed contract as a PDF and QScope reads the details from it. The payment dates then follow that form.

No. It records the invoices that were agreed. Valuations and certificates are made separately, so the contract cannot quietly change a certificate.
